Terms of Service

By using JadeCove (“the Service”), you accept these terms. If you do not accept them, do not use the Service.

1. Nature of the service

JadeCove is a non-custodial payment facilitator on the Base network. It is not a bank, broker, money services business, money transmitter, exchange, or financial institution. JadeCove does not custody fiat. Crypto assets dwell inside a Coinbase CDP-managed MPC deposit wallet only for the seconds required to forward a payment to the recipient.

2. No financial, legal, or tax advice

Nothing on this site constitutes investment, legal, accounting, or tax advice. You are solely responsible for evaluating the risks of cryptocurrency transactions and for the tax treatment of every transaction you initiate.

3. Irreversibility & on-chain risk

Blockchain transactions are final. Sending to the wrong address, wrong network, wrong amount, or wrong token may result in permanent loss. JadeCove cannot reverse or recover such transactions. Verify all details before confirming any payment.

4. Fees

Processor fees (percent, network, processing, gas) are disclosed on the checkout screen and added on top of the subtotal. Fee structure may change without prior notice.

5. US sales tax

When the operator enables sales-tax collection, US customers select a state (and optionally a ZIP) at checkout. Tax is calculated using the state-level rate table or, if configured, the TaxJar Rates API. The merchant remains the merchant of record and is solely responsible for remitting any collected tax to the appropriate authority. JadeCove forwards the tax amount to the merchant on-chain; JadeCove does not remit, file, or report taxes on behalf of any party. Tax amounts are best-effort estimates and may not reflect local district, county, or municipal rates.

6. Restricted jurisdictions & sanctions

You may not use the Service if you are located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive US sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you are on the US OFAC SDN List, the UN sanctions list, the UK HMT sanctions list, or any equivalent restricted-party list. You represent and warrant that you are not such a person.

7. Your compliance obligations

You are responsible for complying with all laws applicable to your use of the Service, including but not limited to anti-money-laundering, counter-terrorism financing, sanctions, securities, tax, consumer-protection, and data-protection laws in your jurisdiction and the jurisdiction of any counterparty.

8. No warranty

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, payment-matching speed, RPC reliability, block-finality timing, swap-execution quality, or third-party API availability (Coinbase CDP, TaxJar, etc.).

9. Limitation of liability

To the maximum extent permitted by law, JadeCove and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or crypto assets, arising out of or related to your use of the Service.

10. Acceptable use

You agree not to use the Service to: (a) facilitate money laundering, terrorism financing, or sanctions evasion; (b) circumvent any tax obligation; (c) perform any automated abuse, denial-of-service, scraping, or vulnerability scanning; or (d) transmit unlawful, fraudulent, or infringing payments. We may block or rate-limit any request that appears to violate these rules.

11. No support channel

JadeCove does not provide individualized customer support. By design, the Service has no inboxes, no tickets, and no accounts.

12. Changes

These terms may be updated from time to time. Continued use of the Service constitutes acceptance of the updated terms.
